Qualcosa è cambiato. Le distanze tra Unicredit e Commerzbank rimangono, ma per la prima volta le posizioni sembrano avvicinarsi, anche se di poco. Dopo la timidissima apertura dell’ad della banca tedesca, Bettina Orlopp, ieri è arrivata un’altra apertura, stavolta sul fronte italiano, dall’amministratore delegato di Unicredit, Andrea Orcel. Nello specifico, il numero uno di Gae Aulenti apre alla revisione al rialzo del premio dell’Ops su Commerzbank.
L’offerta di Unicredit e la ricerca di un dialogo
L’obiettivo di Unicredit, dichiarato con il lancio dell’offerta pubblica volontaria di scambio per superare la soglia del 30% nell’istituto tedesco, era proprio quello di aprire un confronto, che finora non c’è stato. Complice anche l’opposizione del governo tedesco, che vuole l’autonomia della banca. Orcel, nel corso della Morgan Stanley European Conference, apre quindi a una revisione dell’offerta che è proprio ciò che chiede Orlopp.
L’ad di Commerzbank, nella giornata di martedì ha spiegato che l’offerta non è concordata e che non prevede un premio per gli azionisti. Da qui le nuove dichiarazioni di Orcel, che apre a una revisione dell’offerta: “Se passeremo da una situazione di rottura dello stallo ad avere avuto un confronto con un risultato positivo, con il sostegno a una visione comune, a una strategia comune, allora sicuramente potremo rivedere i termini”. Il che vuol dire rialzare il premio per gli azionisti.
Intanto l’offerta puntava proprio a “rompere lo stallo”, come ha sottolineato l’ad di Unicredit. E, in effetti, qualche primo passo avanti c’è stato rispetto al passato, quando il confronto si limitava a un muro contro muro tra l’Italia e la Germania. Sempre martedì, Orlopp si è detta disposta a sedersi al tavolo di fronte a proposte concrete e ora anche Orcel vuole che vengano messi in chiaro “dubbi e problemi” per provare a risolverli.

Something has changed. The distances between Unicredit and Commerzbank remain, but for the first time the positions seem to be approaching, albeit slightly. Unicredit’s Offer and the Search for Dialogue

This was also facilitated by the opposition of the German government, which wants the bank’s autonomy. Orcel, during the Morgan Stanley European Conference, therefore opens to a revision of the offer, which is exactly what Orlopp is asking for.
The Commerzbank CEO explained on Tuesday that the offer was not agreed upon and does not provide a premium for shareholders. From there came Orcel’s new statements, opening to a revision of the offer: “If we will pass from a situation of breaking the stalemate to having had a discussion with a positive result, with support for a common vision, a common strategy, then certainly we could review the terms.” Which means raising the premium for shareholders.
Meanwhile, the offer was aimed at “breaking the stalemate,” as highlighted by Unicredit’s CEO. And, in fact, some initial progress has been made compared to the past, when the discussion was limited to a wall against wall between Italy and Germany. On Tuesday, Orlopp stated that she was willing to sit at the table in front of concrete proposals, and now Orcel also wants to clarify “doubts and problems” to try to solve them.
