Weave Communications, Inc. (NYSE: WEAV), a vertical SaaS platform that provides AI‑powered patient engagement and payment solutions for small and medium‑sized healthcare practices, announced the appointment of two new independent directors, Ryan Dubin and Edward Robson, to its Board of Directors, effective immediately. The appointments were made in connection with a cooperation agreement with Engine Capital, L.P. and 2717 Partners LP and their affiliates.
Mr. Robson, founder and CIO of 2717 Partners, brings extensive private‑equity and public‑market investing experience, having served on multiple technology company boards. Mr. Dubin, a director at Engine Capital, adds significant investment and corporate advisory expertise, with deep knowledge of corporate strategy, capital allocation, and capital markets. Both will serve as Class III directors; Dubin will sit on the Audit and Finance Committees, while Robson will join the Nominating and Governance and Finance Committees. The Board will also create a new Finance Committee, chaired by David Silverman, to support long‑term shareholder value and will begin a search for a third independent director with executive‑level software operating experience.
CEO Brett White said the agreement positions Weave to build on its recent performance—consistent top‑line growth, expanding margins, and disciplined cash generation—and to drive long‑term value for shareholders. Chairman Stuart Harvey highlighted the directors’ expertise in capital markets, operations, and scaling technology platforms as key to expanding Weave’s market presence. Both Engine Capital and 2717 Partners expressed confidence that the new directors and Finance Committee will enhance execution and value creation, while the cooperation agreement—including standstill, voting, and committee appointment rights—will be filed with the SEC on Form 8‑K.
