Il Tempo: Poste Italiane lancia opas totalitaria su TIM

ROMA (ITALPRESS) – Poste Italiane S.p.A. annuncia di aver assunto in data 22 marzo 2026 la decisione di promuovere un'offerta pubblica di acquisto e scambio totalitaria volontaria ai sensi e per gli effetti degli artt. 102 e 106, comma 4, del TUF, avente a oggetto la totalità delle azioni ordinarie di Telecom Italia S.p.A. ammesse alla negoziazione su Euronext Milan, mercato regolamentato organizzato e gestito da Borsa Italiana S.p.A., ivi incluse le azioni proprie detenute dall'Emittente e le azioni di TIM che potrebbero essere eventualmente emesse – entro la fine del periodo di adesione all'Offerta – nell'ambito dei piani di compensi in essere basati su strumenti finanziari. Ai fini della determinazione del numero massimo di azioni ordinarie oggetto dell'Offerta, a scopo prudenziale, tenuto conto che alla data della presente Comunicazione è in corso la conversione delle azioni di risparmio di TIM in azioni ordinarie di TIM di nuova emissione nel rapporto di conversione 1:1, deliberata dall'assemblea straordinaria dell'Emittente in data 28 gennaio 2026, l'Offerente ha considerato, oltre alle 15.329.466.496 azioni ordinarie dell'Emittente attualmente in circolazione anche le 6.027.791.699 azioni ordinarie di nuova emissione al servizio della Conversione, nonchè le Azioni Aggiuntive. Pertanto, l'Offerta avrà a oggetto un massimo di 17.063.618.293 azioni ordinarie dell'Emittente, pari alle 21.357.258.195 azioni ordinarie dell'Emittente rappresentanti il 100% del capitale sociale e delle azioni ordinarie dell'Emittente (ivi incluse le azioni proprie detenute dall'Emittente stesso) post-Conversione, dedotte le n. 4.293.639.902 azioni ordinarie dell'Emittente già possedute dall'Offerente alla data della presente Comunicazione ed a seguito della Conversione, oltre alle Azioni Aggiuntive. Per ciascuna Azione Oggetto dell'Offerta portata in adesione all'Offerta, Poste offrirà un corrispettivo complessivo unitario rappresentato dalle seguenti componenti: una componente in denaro pari a 0,167 euro e una componente in titoli pari a 0,0218 azioni ordinarie dell'Offerente di nuova emissione.Pertanto, per ogni 5.000 Azioni Oggetto dell'Offerta portate in adesione all'Offerta saranno corrisposte 109 azioni ordinarie dell'Offerente di nuova emissione ed 835 euro.

Poste Italiane launches a comprehensive advertising campaign on TIM.

ROMA (ITALPRESS) – Poste Italiane S.p.A. announced on March 22, 2026, that it had decided to launch a public offer for purchase and voluntary exchange (totalitaria offer) pursuant to and for the effect of articles 102 and 106, paragraph 4, of the TUF, relating to the entire share capital of Telecom Italia S.p.A. admitted to trading on Euronext Milan, a regulated market organized and managed by Borsa Italiana S.p.A., including shares held by the issuer and TIM shares that could potentially be issued – by the end of the offer subscription period – within the framework of existing compensation schemes based on financial instruments. For the purpose of determining the maximum number of ordinary shares subject to the Offer, for prudential reasons, taking into account that as of the date of this Communication, the conversion of TIM savings shares into new issued ordinary shares in a 1:1 conversion ratio, approved by the issuer’s extraordinary general meeting on January 28, 2026, the Bidder has considered, in addition to the 15,329,466,496 ordinary shares currently in circulation of the Issuer, also the 6,027,791,699 ordinary shares newly issued for the purpose of the Conversion, as well as Additional Shares. Therefore, the Offer will relate to a maximum of 17,063,618,293 ordinary shares of the Issuer, corresponding to the 21,357,258,195 ordinary shares of the Issuer representing 100% of the share capital and ordinary shares of the Issuer (including those held by the Issuer itself) post-Conversion, minus the 4,293,639,902 ordinary shares of the Issuer already owned by the Bidder as of the date of this Communication and following the Conversion, as well as Additional Shares. For each Share Subject to the Offer brought into subscription, Poste will offer a total unit consideration represented by the following components: a monetary component of €0.167 and a securities component of 0.0218 new issued ordinary shares of the Bidder. Therefore, for every 5,000 Shares Subject to the Offer brought into subscription, 109 new issued ordinary shares of the Bidder and €835 will be paid.

De moord op Julius Caesar (5): offers

De samenzweerders hadden lang staan wachten, maar eindelijk arriveerde Julius Caesar. In zijn gezelschap was Marcus Antonius, zijn mede-consul. Veel soldaten waren er niet. Caesar had zijn lijfwacht immers ontbonden en Marcus Aemilius Lepidus, de adjudant van de dictator, was net die ochtend met wat troepen de stad uitgegaan om zich te voegen bij het leger dat al op weg was naar het oosten. De samenzweerders moeten opgelucht adem hebben gehaald: de gladiatoren die ze voor de zekerheid achter de hand hielden, zouden niet nodig hoeven zijn. Maar toen gebeurde er iets dat de aanwezigen de schrik om het hart deed slaan. De Grieks-Romeinse geschiedschrijver Appianus vertelt:

Toen Caesar uit de draagstoel stapte, nam Popilius Laenas hem apart om hem over iets dringends te spreken. Wat ze zagen maakte de samenzweerders aan het schrikken, vooral toen het zo lang duurde, en ze maakten elkaar met hoofdknikken duidelijk dat ze zichzelf zouden doden voor ze gegrepen werden. Maar in de loop van het gesprek kregen ze de indruk dat Laenas geen dingen aan Caesar onthulde, maar eerder aandrong op iets wat hij van hem had gevraagd; daarop waren ze opgelucht en vatten weer moed toen ze zagen dat hij na het gesprek vriendelijk afscheid nam van Caesar.noot Appianus, Burgeroorlogen 2.116; vert. Ondertussen wist Gaius Trebonius, die ooit had geprobeerd Marcus Antonius te winnen voor het complot, Caesars mede-consul te onderscheppen. Antonius was een potige man en ervaren vechter, die de samenzweerders liever niet tegenover zich hadden. Bij de ingang van de zuilengalerij wist Trebonius een praatje met hem aan te knopen.noot Appianus, Burgeroorlogen 2.117. Ondertussen wandelde Caesar verder. Als hoogste aanwezige magistraat was het nu zijn taak om, voordat de vergadering begon, een offer te brengen. De Senaat kon immers alleen samenkomen als er goddelijke zegen op rustte. Het mocht niet zo zijn.

Caesar offerde verscheidene dieren, maar ging, toen hij geen gunstige voortekens kon krijgen, het Senaatsgebouw binnen zonder zich van dit godsdienstige bezwaar iets aan te trekken. Lachend noemde hij Spurinna een leugenprofeet, omdat de iden van maart waren aangebroken zonder dat hem iets was overkomen.
